Guangzhou Bank's equity structure optimization legal consulting service procurement project tender notice

In order to optimize the equity structure of Guangzhou Bank and enrich the capital, Guangzhou Bank and Guangzhou Finance Holding Group Co., Ltd. (hereinafter referred to as “Guangzhou Jinhua”) jointly launched the Guangzhou Bank’s equity structure optimization project, namely Guangzhou Bank’s capital increase and share expansion, and Guangzhou Financial Control’s simultaneous transfer. Holding shares of Guangzhou Bank. According to the needs of capital increase and expansion of shares, Guangzhou Bank plans to employ a qualified law firm as a legal advisor on this matter.

I. Project Introduction

(I) Project Name: Guangzhou Bank's equity structure optimization legal consultancy service procurement project

(2) Service content: drafting and reviewing the relevant approval documents, transaction documents and contract texts, issuing relevant legal opinions, and assisting in revising the relevant documents of the Bank of Guangzhou company's articles of association and related corporate governance documents.

Second, the qualifications

(1) Having registered in the territory of the People's Republic of China, established for more than 5 years, and has more than 20 practicing lawyers, of whom 5 or more have ever engaged in securities legal business;

(B) the annual inspection in the past three years;

(III) Project experience of bank increase of capital (including initial public offering of banks, common stock of listed banks, issuance of preferred shares) from 2014 to 2016;

(4) Having the necessary personnel and professional capabilities to complete the project;

(6) There are no other situations that may not be suitable for the project.
